These Terms and Conditions ("Terms") govern access to and use of the NeoroTalks platform, services, software, APIs, marketplace, and ecosystem operated by Talks & Talks Technologies Ltd ("NeoroTalks", "Company", "we", "our", or "us").

By accessing or using NeoroTalks services, you agree to comply with these Terms.

If you do not agree, you must not use the platform.

• Customer — Organisation subscribing to NeoroTalks services.
• Marketplace — The NeoroTalks open marketplace where AI agents or applications may be published or purchased.
• Connector — Integration between NeoroTalks and third-party applications.
• Agent Creator — User publishing AI agents or chatbots.

3. Eligibility

You must:

• Be at least 18 years old
• Use the platform for lawful purposes
• Have authority to bind your organisation where applicable

Enterprise administrators are responsible for authorised user access.

4. Services Provided

NeoroTalks provides:

• AI conversational systems
• Workflow automation agents
• Enterprise dashboards
• Marketplace agent distribution
• API integrations
• Third-party connectors
• Document intelligence
• Data analytics

Services may evolve over time. We reserve the right to modify features without prior notice.

5. Account Registration

Users must:

• Provide accurate information
• Maintain account security
• Protect login credentials

Users are responsible for all activity under their accounts.

NeoroTalks may suspend accounts involved in suspicious or unauthorised activity.

6. Subscription Plans and Licensing

Access may require:

• Subscription plans
• Token usage limits
• User licences
• Connector add-ons

Customers may:

• Upgrade or downgrade plans
• Purchase additional licences
• Purchase tokens or add-ons

Subscription billing terms are displayed during purchase.

7. Payments and Billing

Payments may include:

• Subscription fees
• Marketplace purchases
• Add-ons
• Usage-based charges

Payments are processed via authorised payment providers.

Fees are generally:

• Non-refundable unless required by law
• Exclusive of applicable taxes

Failure to pay may result in service suspension.

8. Marketplace and Agent Publishing

NeoroTalks allows users to publish AI agents and applications.

Creators must ensure:

• Content legality
• No intellectual property violations
• No harmful automation

NeoroTalks may remove marketplace content that:

• Violates policies
• Causes security risks
• Breaches law

9. Revenue Sharing and Creator Payments

Marketplace creators may earn revenue from agent sales.

Revenue distribution includes:

• Platform commission deduction
• Payment processing fees
• Refund adjustments

Creator payouts:

• Are processed monthly
• Subject to verification and fraud checks
• May require tax and identity verification

NeoroTalks reserves the right to delay payouts in cases of dispute or investigation.

10. Third-Party Connectors and Integrations

NeoroTalks supports integrations including:

• Jira
• Shopify
• Google Workspace
• Microsoft 365
• CRM and ERP systems

Users explicitly authorise access when enabling connectors.

NeoroTalks is not responsible for:

• Third-party service downtime
• External platform policy changes
• Data handled outside NeoroTalks systems

11. Acceptable Use Policy

Users must not:

• Upload unlawful or harmful content
• Attempt unauthorised access
• Reverse engineer platform components
• Deploy malicious workflows
• Abuse AI systems

Violation may result in suspension or termination.

12. AI Usage Disclaimer

AI-generated outputs:

• May contain inaccuracies
• Should not replace professional judgement

Users remain responsible for decisions made using AI outputs.

NeoroTalks does not guarantee accuracy of generated responses.

13. Customer Data Ownership

Customers retain ownership of their data.

NeoroTalks processes data solely to provide services.

We do not sell customer data.

14. Security and Compliance

NeoroTalks implements:

• Encryption
• Role-based access controls
• Secure APIs
• Audit logging

Customers remain responsible for access permissions configured within their organisation.

15. Data Backup and Availability

We aim to maintain high availability.

However, uninterrupted service cannot be guaranteed.

Maintenance or external failures may temporarily affect services.

16. Intellectual Property

All rights in:

• Software
• Platform architecture
• AI systems
• Branding

remain property of Talks & Talks Technologies Ltd.

Users receive a limited licence to use services.

17. Confidentiality

Both parties agree to protect confidential information exchanged during service usage.

18. Suspension or Termination

NeoroTalks may suspend accounts if:

• Terms are violated
• Payment defaults occur
• Security risks arise

Users may terminate accounts at any time.

19. Limitation of Liability

To the maximum extent permitted by law:

NeoroTalks shall not be liable for:

• Indirect damages
• Business interruption
• Loss of profits
• Data loss caused by third-party systems

Total liability shall not exceed fees paid during the previous 12 months.

20. Indemnification

Users agree to indemnify NeoroTalks against claims arising from:

• Misuse of the platform
• Illegal workflows
• Intellectual property violations

21. Regulatory Compliance

Users must comply with applicable laws including:

• GDPR
• Data protection regulations
• Export controls

22. Changes to Services or Terms

We may update these Terms periodically.

Continued use constitutes acceptance.
